ARTICLE 1 INTRODUCTORY PROVISIONS<\/b><\/p>\n
These General Terms and Conditions (hereinafter referred to as the \u201cGTC\u201d) govern the relationships arising from the agreement on the terms of use concluded through the platform https:\/\/healthprofile.digital<\/a>, with the provider acting on one side and the client on the other.<\/p>\n The service provider is the commercial company NINE SPORT s. r. o., with its registered office at Ambrova 33, 831 01 Bratislava, Company ID (I\u010cO): 51 698 994, Tax ID (DI\u010c): 2120760323, VAT ID: not a VAT payer, registered in the Commercial Register of the Municipal Court Bratislava III, Section: Sro, File No.: 128373\/B, e-mail: app@healthprofile.digital, telephone number: +421 907 899 003.<\/b> <\/b><\/p>\n The client is a natural person (an individual athlete) or a legal entity (typically, but not exclusively, a sports club, fitness center, or school) who enters into an agreement on the terms of use. <\/span>The client may also be a minor; in such a case, the agreement is concluded in the name and on behalf of the client by the client\u2019s legal representative. In particular, the legal representative pays the subscription for the minor client and grants, on behalf of the minor client, consent to the processing of personal data and the consents pursuant to Article 7 of the GTC; this does not affect the obligation of the minor client to comply with the obligations set out in the GTC when using the healthprofile.digital application. <\/p>\n A consumer is a client \u2013 a natural person who, when concluding and performing the contract on the terms of use with the service provider, does not act within the scope of their business or other entrepreneurial activity or within the scope of the independent performance of their profession.<\/p>\n The client account is the user account of the client in the healthprofile.digital application.<\/p>\n The agreement is an agreement on the terms of use (hereinafter referred to as the \u201cAgreement\u201d) concluded pursuant to Section 51 of Act No. 40\/1964 Coll., the Civil Code, as amended (if concluded by a natural person), or pursuant to Section 262 of Act No. 513\/1991 Coll., the Commercial Code, as amended (if concluded by a legal entity). Legal relationships arising from the Agreement are governed by the legal order of the Slovak Republic and the law of the European Union. If the client is a consumer, the provider shall be considered a trader for the purposes of these GTC pursuant to Act No. 108\/2024 Coll. on Consumer Protection, as amended. On the basis of the Agreement, the client has the right to use the client account and the right to purchase services. <\/p>\n The services are digital services provided by the provider through https:\/\/healthprofile.digital<\/a>. These services include in particular the ability to create, store, manage, analyze, and share data related to the health, performance, and training profiles of individuals, for the purposes of sports diagnostics, prevention, training planning, consultations, or other professional recommendations. The services also include access to software interface functionalities, management of client accounts, uploading and processing of client content (including data, documents, videos, reports, and plans), as well as the provision of outputs and data calculations according to the current capabilities of the platform. The current description of the services is available at https:\/\/healthprofile.digital<\/a> <\/b>and may change depending on the development or modification of individual functionalities and subscription plans. The services are available to the client only upon payment of the fee for their provision (hereinafter also referred to as the \u201csubscription\u201d). The services are available to the consumer free of charge for 14 days from the date of conclusion of the Agreement; after the expiration of this period, the subscription must be paid if the consumer wishes to continue using the services.<\/span><\/p>\n If the client withdraws consent to the processing of personal data, it will not be possible to continue providing the services, which means that the provision of the services will be suspended without entitlement to a refund of the unused portion of the subscription or to any other financial compensation, until consent to the processing of personal data is granted again.<\/p>\n The provider reserves the right to amend these GTC without the client\u2019s consent, as well as to change the scope, content, and quality of the services. The provider shall inform the client in advance of any changes to the GTC and of any changes to the scope, content, and quality of the services electronically (by e-mail). The provider also reserves the right to change the availability of individual service functionalities. If a change to the scope, content, or quality of the services during the subscription period is made to the detriment of the client, the client shall be entitled to compensation in accordance with Article 6 of these GTC. <\/p>\n Article 2 \u2013 Conclusion of the Contract<\/b><\/p>\n The Agreement shall be deemed concluded on the date on which the provider confirms the client\u2019s registration in the healthprofile.digital application.<\/p>\n Article 3 \u2013 Client Account <\/b><\/p>\n Each client must be registered in the healthprofile.digital application in order to use the services. The client is obliged to provide all data required by the provider during registration. The provider uses the client\u2019s contact details provided during registration exclusively for communication related to the contractual relationship with the client. <\/p>\n The client is obliged to provide true and accurate information during registration and undertakes to update such information in the client account in the event of any changes.<\/p>\n As part of the registration, the client will be provided with unique login credentials, which the client undertakes to handle in a manner that prevents their misuse. The client is responsible for any misuse of the login credentials by a third party resulting from insufficient security on the part of the client, as well as for all activity carried out within the client account. The client is not entitled to transfer the login credentials for the client account to another person without the provider\u2019s prior written consent. <\/p>\n In the event of the expiration of the subscription for the services, the client account shall not be terminated. The client will still be able to log in to the client account and manage the subscription. <\/p>\n The client is entitled to request the cancellation of the client account at any time. A request for cancellation of the client account may be submitted by e-mail to: app@healthprofile.digital. After the request is processed, the client account will be suspended for a period of 30 days, during which it may be reactivated upon the user\u2019s request; after the expiration of this period, the client account will be permanently deleted. <\/p>\n If the client does not log in to the client account for a period longer than one year, the provider may cancel the client account without any right to compensation, provided that the client is notified of this in advance. This shall not apply if the client has an active paid subscription. <\/p>\n If the provider has reasonable grounds to suspect misuse of the client account by the client or a third party, the provider shall suspend the client\u2019s account and, in cooperation with the client, carry out a review of the client account, its security, and access rights. Depending on the nature of the breach of the client account, the provider is entitled to revoke the client\u2019s access to the client account and to all of its content. <\/p>\n The provider is entitled to cancel the client\u2019s account, in particular if the client:<\/p>\n \n Article 4 \u2013 Subscription<\/b><\/p>\n The price of the subscription (including the types and duration of subscriptions) is specified for the client at https:\/\/healthprofile.digital\/cennik\/<\/a>. Unless otherwise stated on https:\/\/healthprofile.digital<\/a> or agreed otherwise between the provider and the client, the subscription price shall be paid after logging into the client account via the designated interface.<\/p>\n The subscription shall be automatically extended (renewed) for the period selected at the time of the previous payment for the services. <\/b>The payment shall be automatically charged to the client\u2019s payment card used for the initial payment. The client is entitled to cancel the automatic renewal of the subscription either in the client account or by submitting a request to the provider by e-mail at: app@healthprofile.digital<\/a>. After the client cancels the automatic renewal, the currently paid subscription shall remain valid. <\/p>\n After the subscription has been paid, it is not possible to refund the paid amount or provide compensation to the client, unless otherwise stated in these GTC or unless otherwise required by generally binding legal regulations. This also applies in the event that the client\u2019s account is cancelled pursuant to Article 3 of these GTC. <\/p>\n An invoice for the paid subscription is sent to the client\u2019s e-mail address.<\/b><\/p>\n \n ARTICLE 5 TERMINATION OF THE CONTRACT<\/b><\/p>\n By cancelling the account pursuant to Article 3 of these GTC, the Agreement shall terminate.<\/p>\n The statutory right of the consumer to withdraw from the contract within a 14-day period is ensured by allowing the consumer to use the services free of charge for 14 days from the date of conclusion of the Agreement. After this period, the consumer has the right to decide whether to pay the subscription for the services. If the consumer decides not to continue using the services, no action is required on their part and no charges will be applied; the services will expire automatically. <\/b><\/p>\n ARTICLE 6 LIABILITY AND COMPLAINTS REGARDING SERVICES<\/b><\/p>\n The provider\u2019s services are provided \u201cas is,\u201d without any express or implied warranties, unless such warranties arise from applicable legal regulations, in particular consumer protection laws or other specific legislation. The provider gives no guarantees that the services will always be uninterrupted, error-free, or secure, that any defects will be automatically corrected, or that the content or data made available through the services will always be up to date, accurate, or suitable for the client\u2019s specific purpose. <\/p>\n The service provider is not responsible for the content entered into the system by the client, nor for any consequences arising from the use of such content by the client or a third party. The client is solely responsible for the data they enter and for any conclusions or decisions they derive from the use of the services. To the extent permitted by applicable law, the service provider shall not be liable for: indirect or consequential damage, loss of profit or loss of data, damage to the client\u2019s equipment or software, or damage caused by viruses or other malicious code arising from the use of the services, unless such damage was caused by the service provider\u2019s intentional misconduct or gross negligence. <\/p>\n The service provider does not guarantee the results or performance of the services, as these depend on the quality, completeness, and accuracy of the input data provided by the client. Nothing in this article excludes or limits the service provider\u2019s liability for death, personal injury, intentional breach of obligations, or gross negligence, nor for any other situations where such exclusion would be contrary to EU law or mandatory provisions of Slovak law. <\/p>\n If the services are unavailable to the client for more than 24 hours due to reasons on the provider\u2019s side, the client shall be entitled to compensation in the form of a free extension of the subscription for the period during which the services were non-functional. The provider and the client may also agree on another form of compensation. The compensation pursuant to the first sentence of this provision shall be granted to the client automatically by the provider or based on a complaint submitted by the client, which the provider shall assess and resolve without undue delay. The client may submit a complaint to the provider\u2019s e-mail address. <\/b> app@healthprofile.digital.<\/b><\/b><\/p>\n ARTICLE 7 INTELLECTUAL PROPERTY, LICENCES, CONTENT RIGHTS AND ADVERTISING<\/b><\/p>\n The provider is the exclusive owner of all intellectual property rights to the Health Profile application, including, but not limited to, its software code, design, algorithms, databases, analytical tools, trade name, and know-how. Nothing in these GTC grants the client the right to use these elements in any manner other than as expressly set out in these terms. <\/p>\n By creating an account and uploading content to the application, the client grants the provider a non-exclusive, royalty-free, perpetual, worldwide, and transferable license to use such content for the purposes of:<\/p>\n <\/span>the operation, optimisation, and development of the service,<\/p>\n <\/span>the creation of statistics, analyses, and derived outputs,<\/p>\n <\/span>advertising and promotion of the Health Profile service, including the display of the content in anonymized or aggregated form,<\/p>\n <\/span>the development of new products and features.<\/p>\n This licence also includes the right to:<\/p>\n <\/span>copying, making available, storing, and transmitting the content,<\/p>\n <\/span>its modification, translation, adaptation, and integration into other outputs,<\/p>\n <\/span>grant sublicences to third parties for the same purpose.<\/p>\n If the client provides any feedback, suggestion for improvement, or idea related to the Health Profile services, the client thereby grants the provider an irrevocable, royalty-free, perpetual, and worldwide license to use it without any entitlement to compensation or attribution of authorship.<\/p>\n The client acknowledges that the service provider is not obliged to publish, retain, or return any content uploaded by the client to the system.<\/p>\n The client must not in any way replicate, decompile, reverse engineer, modify, lease, sublicense, or otherwise unlawfully use any part of the Health Profile service, nor attempt to do so. Any such conduct may result in the immediate termination of the account and the possible assertion of a claim for damages. <\/p>\n The client expressly agrees that, as part of the provision of the services, the provider may display advertising, sponsored, or partner content, including personalized advertising based on the client\u2019s data or behavior within the Health Profile service. Such advertising content may be provided directly by the provider or through third parties and may be displayed in the application, notifications, e-mails, or other communication channels associated with the service. <\/p>\n \n ARTICLE 8 COMMON AND FINAL PROVISIONS<\/b><\/p>\n In the event of a dispute, the service provider and the client shall attempt to resolve the dispute primarily out of court. If the dispute between the client and the service provider cannot be resolved out of court, the court having jurisdiction shall be the court according to the service provider\u2019s registered office, and the governing law shall be the law of the Slovak Republic, unless generally binding legal regulations provide otherwise. <\/p>\n The consumer has the right to submit a request for redress to the service provider if a dispute arises between the consumer and the service provider concerning the exercise of rights arising from liability for defects, or if the consumer believes that the service provider has violated other consumer rights. The consumer has the right to submit a proposal to initiate alternative dispute resolution to an alternative dispute resolution body if the service provider has responded negatively to the request referred to in the previous sentence or has not responded within 30 days from the date of its submission. The proposal shall be submitted by the consumer to the competent alternative dispute resolution authority, without prejudice to the consumer\u2019s right to seek judicial remedies. Further conditions relating to alternative dispute resolution are laid down in Act No. 391\/2015 Coll. on Alternative Dispute Resolution for Consumer Disputes and on Amendments to Certain Acts. The competent body for alternative resolution of consumer disputes is the Slovak Trade Inspection, Prievozsk\u00e1 32, 827 99 Bratislava 27, <\/b>www.soi.sk<\/a> or another competent authorised legal entity entered in the list of alternative dispute resolution bodies maintained by the Ministry of Economy of the Slovak Republic (the list is available at http:\/\/www.mhsr.sk)<\/a>). The consumer has the right to choose which of the above-mentioned alternative dispute resolution bodies to contact. For the purposes of out-of-court resolution of disputes with consumers, the European Commission has developed an Online Dispute Resolution (ODR) platform. The consumer may also use this platform to resolve their disputes via the link <\/b>http:\/\/ec.europa.eu\/consumers\/odr<\/b><\/a>.<\/b><\/p>\n <\/b>These GTC are valid and effective as of 01 February 2026<\/b> and fully replace the GTC effective as of 01 July 2025.
